Sales Agent Agreement

This Sales Agent Agreement ("Agreement") is entered into between BluWav Growth, a Stratiix Group Company ("Company") and the individual identified above ("Sales Agent"). This Agreement sets out the terms under which the Sales Agent will refer and/or sell BluWav Growth services in exchange for commission payments as described herein.

By signing this Agreement, the Sales Agent confirms they have read, understood, and agreed to all terms contained herein.

The Sales Agent will operate under one of the following tiers, as agreed at the time of signing:

Selected Tier for this Agreement: Tier 3, Sales Closer / Part Time Sales Agent (20% on all Growth System and CRM plans)

3.1 Digital Health Check Incentive

The Free Digital Health Check is the first step in the BluWav sales process and should be presented to every qualified prospect before recommending a package.

Qualification Requirements — To qualify for the $10 Health Check bonus:

• Business owner must complete the assessment.
• Business owner must participate in a review conversation.
• Business must fit BluWav’s target market.
• Bonus is payable only once per business.

3.2 Growth System Commissions

3.3 CRM Partner Commissions

The CRM is Pillar 4 of the growth system. Every Growth System client receives a 14-day free trial. After the trial, they choose their CRM plan. Commission starts only when the client begins paying.

3.4 BluWav 30-Day Growth Sprint

The 30-Day Growth Sprint is a standalone consulting engagement. Commission is earned when the client’s payment is received and cleared.

3.5 CRM Performance Reward

Bring 3 or more CRM clients within 60 days and your commission rate upgrades from 20% to 25% for 3 months on all CRM clients in that cohort.

The 60-day window begins from the date of the first CRM client payment. All 3 clients must be paying within that window to qualify for the 25% rate.

3.6 Growth System Residual Commission

Sales Agents shall receive a residual commission equal to 3% of collected recurring monthly revenue from Launch, Momentum, and Accelerate Growth System subscriptions.

Residual commissions begin in Month 4 following the initial 3-month commission period and continue for a maximum of 9 months (Months 4–12) from the client’s activation date.

Residual commissions are payable only on active, paying accounts and cease immediately upon:

• cancellation or suspension of the client account;
• non-payment by the client;
• termination of the Sales Agent’s employment or contractor relationship with BluWav Growth;
• completion of the 12-month commission period (including the initial 3-month period).

Residual commissions are calculated on revenue actually collected by BluWav Growth.

3.7 Performance Bonuses

• Commission is earned when the client's payment is received and cleared by BluWav Growth.
• Commission is paid within 7 business days of payment clearance.
• CRM recurring commissions are paid monthly for the first 3 months following the client's first payment.
• Minimum payout threshold: $50 USD equivalent.
• If a client cancels or requests a full refund within 30 days of signing, the commission for that deal is reversed.
• Payment will be made via bank transfer, PayPal, or WiPay as agreed.
• All commissions are paid in USD.
• The Sales Agent is responsible for any applicable taxes on commission income.
• No commission is payable on setup or onboarding fees.

The Sales Agent agrees to:

• Represent BluWav Growth honestly and professionally at all times.
• Use only approved pitch materials, pricing, and service descriptions.
• Submit all leads through the agreed tracking method (WhatsApp, email, or CRM).
• Not make promises or guarantees to clients beyond what is stated in official materials.
• Not misrepresent timelines, pricing, or deliverables.
• Complete the BluWav Growth onboarding session before actively selling.
• Maintain confidentiality of all BluWav Growth business information, pricing strategies, client data, and sales material.
• Position BluWav Growth as a digital growth systems firm, not merely a website agency or CRM provider.

• Existing clients upgrading without Sales Agent involvement.
• Government or institutional contracts negotiated directly by BluWav Growth.
• Clients sourced directly by BluWav Growth without Sales Agent involvement.
• Setup or onboarding fees on any CRM package.
• CRM recurring payments after the first 3 months.

This Agreement is non-exclusive. BluWav Growth may engage multiple Sales Agents simultaneously. The Sales Agent may not represent competing digital presence, web design, or CRM services during the term of this Agreement without prior written consent from BluWav Growth.

The Sales Agent agrees to keep all BluWav Growth business information, pricing, client data, strategies, and sales materials strictly confidential. This obligation continues for 12 months after the termination of this Agreement.

• Either party may terminate this Agreement with 14 days written notice.
• Upon termination, earned commissions on closed deals will be paid within 30 days.
• CRM recurring commissions will continue for the agreed 3-month duration on deals closed before termination.
• The Sales Agent must immediately cease representing BluWav Growth upon termination.
• The Sales Agent must return and/or destroy all BluWav Growth documents, promotional material, and assets.

• Any disputes will first be addressed through good-faith negotiation between the parties.
• This Agreement constitutes the entire agreement between the parties regarding the subject matter herein.
• Amendments must be agreed in writing and signed by both parties.

By signing below, both parties confirm they have read, understood, and agreed to all terms of this Sales Agent Agreement.
